Client Responsibilities

• Notify us promptly of any unauthorized use or security concerns

Intellectual Property

All content on the Nexolvi.ai website — including text, graphics, logos, and code — is the property of Nexolvi.ai and protected by applicable intellectual property laws.

Work product created specifically for a client engagement is governed by the terms of the applicable engagement agreement. Unless otherwise stated in writing:

• Frameworks, methodologies, and tools developed by Nexolvi.ai remain our property
• Custom deliverables may be licensed to the client upon full payment
• You may not reproduce, distribute, or create derivative works without our written consent

Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during an engagement. Nexolvi.ai will not disclose client information to third parties except as required to deliver services or comply with legal obligations.

Confidentiality obligations survive the termination of any engagement.

Payment Terms

Fee structures, payment schedules, and billing terms are defined in individual engagement agreements. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at the rate specified in the engagement agreement
• Services may be paused for accounts with outstanding balances
• All fees are exclusive of applicable taxes

Limitation of Liability

To the maximum extent permitted by law, Nexolvi.ai shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website.

Our total liability for any claim arising from a specific engagement shall not exceed the fees paid by the client for that engagement in the preceding three months.

We provide our services with professional care, but we do not guarantee specific business outcomes.

Termination

Either party may terminate an engagement in accordance with the terms of the applicable engagement agreement. We reserve the right to terminate access to our website or services immediately if:

• You violate these Terms of Service
• You engage in fraudulent or unlawful activity
• Continued service poses legal or reputational risk

Upon termination, any outstanding fees remain payable and confidentiality obligations continue.

Governing Law

These Terms of Service are governed by applicable law. Any disputes arising from or related to these terms or our services will be resolved through good-faith negotiation where possible, and otherwise through appropriate legal channels.

Changes to These Terms
